These Terms of
Service (“Terms”) govern your access to and use of the Platform. By registering, using, or accessing
the Platform, you agree to these Terms.
2. Eligibility
- • You must be at least 18 years old or the legal age in your jurisdiction
to enter into contracts.
- • Businesses using the API must provide accurate and complete information
during registration.
- • Users must comply with all applicable laws and WhatsApp Business
Policies.
3. Account Registration
- • Users must create an account with valid email, phone number, and business information.
- • You are responsible for maintaining confidentiality of credentials.
- • Any activity under your account is your responsibility.
- • Xpecto may suspend or terminate accounts for suspicious or unauthorized
use.
4. API Usage & Restrictions
You agree to use the API only for lawful purposes and in accordance with these
Terms:
- • Do not send spam, unsolicited, abusive, or illegal messages.
- • Do not violate WhatsApp Business API policies.
- • Do not attempt to reverse engineer, copy, or misuse the API.
- • Respect message limits, throttling, and technical constraints.
- • Maintain compliance with local laws and regulations regarding messaging
and privacy.
5. Intellectual Property
- • Xpecto and its licensors own all rights, title, and interest in the
Platform, API, software, documentation, and branding.
- • Users retain ownership of their content and business data, but grant
Xpecto a limited license to operate and maintain the service.
- • You may not use Xpecto trademarks, logos, or branding without permission.
6. Billing, Subscription, and Payment
- • Users agree to pay all fees as per chosen subscription plan.
- • Payment must be made via approved methods.
- • Non-payment may result in suspension or termination of service.
- • Refunds, if any, are subject to the Refund / Payment Policy.
- • Users are responsible for applicable taxes.
7. Account Suspension and Termination
Xpecto may suspend or terminate accounts for:
- • Violation of these Terms, policies, or WhatsApp rules
- • Unauthorized or illegal activity
- • Security threats or abuse of the Platform
- • Non-payment of subscription fees
Termination does not relieve users from outstanding obligations, including payment
or indemnification.
8. Disclaimer of Warranties
- • The Platform is provided “as is” and “as available”.
- • Xpecto does not guarantee uninterrupted or error-free service.
- • Xpecto is not responsible for:
- 👉 o Message delivery failures due to WhatsApp, network, or telecom issues
- 👉 o Loss of data or business outcomes from use of the Platformissues
- • Users are responsible for their own message content, compliance, and
outcomes.
9. Limitation of Liability
- • To the maximum extent permitted by law, Xpecto shall not be liable for:
- 👉 o Indirect, incidental, special, consequential, or punitive damages
- 👉 o Loss of revenue, profits, or business opportunities
- • Users agree to indemnify and hold harmless Xpecto from claims arising
from violation of Terms, misuse, or illegal use of the API.
10. Acceptable Use
- • Users must comply with the Acceptable Use Policy (AUP).
- • Xpecto reserves the right to monitor API usage and take action against
abuse.
11. Privacy and Data Protection
- • User data is governed by the Privacy Policy.
- • Users are responsible for obtaining consent from their own recipients when sending
messages.
12. Modification of Terms
- • Xpecto may update or modify Terms at any time.
- • Changes will be posted on the platform with an updated effective date.
- • Continued use after modifications indicates acceptance of updated
Terms.
13. Governing Law & Dispute Resolution
